Is $45,000 to replace cedar siding, soffits, fascia, and gutters with vinyl siding (full removal) a fair price?

I live in a 2400 sq ft 2-story house in the Chicago suburbs. My current cedar plank siding is rotting all over, and the soffits and fascia are in terrible condition, so they need to be replaced. I've received several quotes, and one is significantly lower than the others, making me question if corners are being cut. I don't plan to be in this house long term, probably moving in 3-5 years, so it's not a forever home. I'm concerned that Company 3 plans to put vinyl over the existing cedar siding, only removing rotted pieces and replacing them with plywood, even though I believe about 50% of the cedar is rotted. I'm going to ask Company 3 to revise their quote to remove all of the cedar.
