Is $37,000 to install a new HVAC system and replace ductwork a fair price?

My outdoor unit is from 2013 and my indoor furnace is from 2003. Everything is working fine, but I was just pushed to purchase a new $17,000 system plus $20,000 worth of duct work. I paid $49 for a tune-up mostly for peace of mind that nothing dangerous is going on up there. I feel silly now for falling for it! I really don want to spend the money to replace right now if I don have to. I know I will have to replace probably soon because it s so old, I just want to make sure I m not putting my family in danger. My step dad didn seem concerned when I showed him the crack and he s pretty familiar with hvac work.
